OpenAI Flags Microsoft Dependency as IPO Risk

Microsoft is responsible for a substantial portion of OpenAI's financing and compute access. This disclosure appeared in a financial document shared with prospective investors tied to the company's record $110 billion funding round last month, which included Amazon, Nvidia, and SoftBank.
The document contains sections titled "Risks Related to the Transaction" and "Risks Related to our Business." Beyond the Microsoft relationship, OpenAI cites significant capital expenditures, reliance on compute resources, ongoing litigation from Elon Musk's xAI, and its unusual structure as a public benefit corporation.
ChatGPT now boasts 900 million weekly active users. The company generated $13.1 billion in revenue in 2025 and was valued at $730 billion. An IPO is expected sometime in 2026.
